YELLOW FIDIC CONTRACT

(CONTRACT FIDIC GALBEN)

ABSTRACT

The present paper is structured in four chapters that gather all the necessary information on better understanding this type of contract, named Yellow Fidic, why it is so important in a project that complies with the European Union’s principles and last but not least what the purpose of this contract is.

At the beginning, I mentioned the aims of the paper, a few words about Yellow Fidic, how I decided to write about this subject and why this information is so important in understanding this type of contract. A short history of Yellow Fidic is also presented.

The first chapter presents an excerpt from the contract.

The second chapter talks about the terminology, the issues in finding an equivalent in a foreign language but also about the terminology’s route in time.

The third and the fourth chapters present the terms, their conceptual map and also all the necessary details for each term (definition, source and context).

In the last part of the paper, the conclusions of this work include the terms’ route and the difficulties in gathering all this information.

The paper ends with bibliography and the webography of the paper.

The paper is meant to provide all the necessary details so that the reader gets familiarized with the Yellow Fidic Contract.

If we conducted a survey and we asked a constructor the following question: ‘What is the most important element or what do you wish most to know about constructions?’ we just do not have to think what the answer might be.

In the field of infrastructure construction one of the most significant quality issues is the ability of the consulting engineer to offer quality services at the crossroads between acting as a trusted adviser to the Employer and as a supplier of a commodity, in this case the design.

The demand to open construction markets to international competition to improve quality, timeliness of supply and price is growing. There has been a noticeable increase in the number of developers, owners and operators who are now looking to involve use of a form of contract familiar to international contractors even on projects being undertaken in their home jurisdiction.  In Europe, Africa, the Middle East and that has meant a substantial increase in the demand for FIDIC based contracts. 

The availability of a familiar and respected legal framework in which construction business is conducted internationally is very great.   It saves contractors costs because they are familiar with the form and its method of operation. It also provides an improved competitive environment which in turn gives the Employer a better deal; often it is quality rather than price which is the driver for this change.

The aim of this paper is to provide useful information on a major problem which is the incapacity of finding an English-Romanian Glossary of terms on Yellow FIDIC. The FIDIC suite of contracts have responded to the changes in the international procurement market and the changed role of the engineer. 

The reason of choosing this work is for everybody to understand that in particular these contracts have recognised the fact that the engineer, when appointed by the employer, may not in fact be impartial.  The 1999 FIDIC Red Book for example, makes it clear that he should be deemed to act for the Employer.  The 1999 Yellow Book is illustrative of the way in which risk allocation has developed in the international context as the employer can now terminate for convenience but in return the contractor's liability under the contract is not limited.

There is a great variety of issues to discuss so as to get familiar with this type of FIDIC, called Yellow FIDIC, since its publication until the efforts nowadays to upgrade it for the necessities of nowadays contractor.

So as to understand the contract and its importance in a contractor’s work , I tried to compile a complex glossary of technical terms that relate to Yellow FIDIC, to find its roots, where its definition comes from, to analyze all the terms from a linguistic and medical point of view, so as to understand its implications on contractor’s work.

My personal opinion is that a good, deep analysis work can be a very useful source of gathering new information and learning the most important things about Yellow FIDIC.

A BRIEF HISTORY OF FIDIC AND YELLOW FIDIC

FIDIC is the International Federation of Consulting Engineers. Its members are national associations of consulting engineers.

Founded in 1913, FIDIC is charged with promoting and implementing the consulting engineering industry’s strategic goals on behalf of its Member Associations and to disseminate information and resources of interest to its members. Today, FIDIC membership covers 97 countries of the world.

FIDIC, in the furtherance of its goals, publishes international standard forms of contracts for works and for clients, consultants, sub-consultants, joint ventures and representatives, together with related materials such as standard pre-qualification forms.

FIDIC also publishes business practice documents such as policy statements, position papers, guidelines, training manuals and training resource kits in the areas of management systems (quality management, risk management, business integrity management, environment management, sustainability) and business processes (consultant selection, quality based selection, tendering, procurement, insurance, liability, technology transfer, capacity building).

FIDIC organises the annual FIDIC World Consulting Engineering Conference and an extensive programme of seminars, capacity building workshops and training courses.

FIDIC has long been renowned for its standard forms of contract for use between employers and contractors on international construction projects, in particular:

Conditions of Contract for Works of Civil Engineering Construction: The Red Book (1987)

Conditions of Contract for Electrical and Mechanical Works including Erection on Site: The Yellow Book (1987)

Conditions of Contract for Design-Build and Turnkey: The Book (1995)

During its past work in updating the Red and Yellow Books, FIDIC has noted that certain projects have fallen outside the scope of the existing Books. Accordingly FIDIC has not only updated the standard forms but has expanded the range, and has – in September 1999 – published a suite of four new Standard Forms of Contract which are suitable for the great majority of construction and plant installation projects around the world.

3.1

Engineer’s Duties and

Authority

The Engineer

The Employer shall appoint the Engineer who shall carry out the duties assigned to him in the Contract. The Engineer’s staff shall include suitably qualified engineers and other professionals who are competent to carry out these duties.

The Engineer shall have no authority to amend the Contract. The Engineer may exercise the authority attributable to the Engineer as specified in or necessarily to be implied from the Contract. If the Engineer is required to obtain the approval of the Employer before exercising a specified authority, the requirements shall be as stated in the Particular Conditions. The Employer undertakes not to impose further constraints on the Engineer’s authority, except as agreed with the Contractor. However, whenever the Engineer exercises a specified authority for which the Employer’s approval is required, then (for the purposes of the Contract) the Employer shall be deemed to have given approval.

3.2

Delegation by the

Engineer

Except as otherwise stated in these Conditions:

(a) whenever carrying out duties or exercising authority, specified in or implied by the Contract, the Engineer shall be deemed to act for the Employer;

(b) the Engineer has no authority to relieve either Party of any duties, obligations or responsibilities under the Contract; and

© any approval, check, certificate, consent, examination, inspection, instruction, notice, proposal, request, test, or similar act by the Engineer (including absence of disapproval) shall not relieve the Contractor from any responsibility he has under the Contract, including responsibility for errors, omissions, discrepancies and non-compliances.

The Engineer may from time to time assign duties and delegate authority to assistants, and may also revoke such assignment or delegation. These assistants may include a resident engineer, and/or independent inspectors appointed to inspect and/or test

items of Plant and/or Materials. The assignment, delegation or revocation shall be in

writing and shall not take effect until copies have been received by both Parties.

However, unless otherwise agreed by both Parties, the Engineer shall not delegate the authority to determine any matter in accordance with Sub-Clause 3.5 [Determinations].

Assistants shall be suitably qualified persons, who are competent to carry out these duties and exercise this authority, and who are fluent in the language for communications defined in Sub-Clause 1.4 [Law and Language].

Each assistant, to whom duties have been assigned or authority has been delegated, shall only be uthorized to issue instructions to the Contractor to the extent defined by the delegation. Any approval, check, certificate, consent, examination, inspection, instruction, notice, proposal, request, test, or similar act by an assistant, in accordance with the delegation, shall have the same effect as though the act had been an act of the Engineer. However:

any failure to disapprove any work, Plant or Materials shall not constitute approval, and shall therefore not prejudice the right of the Engineer to reject the work, Plant or Materials;

(b) if the Contractor questions any determination or instruction of an assistant, the

Contractor may refer the matter to the Engineer, who shall promptly confirm,

reverse or vary the determination or instruction.

The Engineer may issue to the Contractor (at any time) instructions which may be

necessary for the execution of the Works and the remedying of any defects, all in accordance with the Contract. The Contractor shall only take instructions from thpromptly confirm,

The Engineer may issue to the Contractor (at any time) instructions which may be

necessary for the execution of the Works and the remedying of any defects, all in accordance with the Contract. The Contractor shall only take instructions from the Engineer, or from an assistant to whom the appropriate authority has been delegated under this Clause. If an instruction constitutes a Variation, Clause 13 [Variations and Adjustments] shall apply.

The Contractor shall comply with the instructions given by the Engineer or delegated assistant, on any matter related to the Contract. These instructions shall be given in writing.

If the Employer intends to replace the Engineer, the Employer shall, not less than 42 days before the intended date of replacement, give notice to the Contractor of the name, address and relevant experience of the intended replacement Engineer. The Employer shall not replace the Engineer with a person against whom the Contractor raises reasonable objection by notice to the Employer, with supporting particulars.

3.5

Determinations

Whenever these Conditions provide that the Engineer shall proceed in accordance

with this Sub-Clause 3.5 to agree or determine any matter, the Engineer shall consult with each Party in an endeavour to reach agreement. If agreement is not achieved, the Engineer shall make a fair determination in accordance with the Contract, taking due regard of all relevant circumstances.

The Engineer shall give notice to both Parties of each agreement or determination,

with supporting particulars. Each Party shall give effect to each agreement or determination unless and until revised under Clause 20 [Claims, Disputes and Arbitration].

I. What is terminology?

Terminology is the discipline or the science which refers to the usage and study of terms, that is to say words and compound words generally used in specific contexts. It is a structured set of terms which covers a well delimitated domain.

Terminology analyses the relation between the terms and the designated elements, the principles which are the basis of the forming and the evolution of the terminology, it studies the correlations between different terminologies, it interposes in the activity of terminological normalization and harmonization, and it establishes the basis rules in the terminographical activity.

II. Terminology as a discipline

As a discipline, terminology is related to translation (it is the action of interpretation of the meaning of a text, and subsequent production of an equivalent text). The discipline of terminology is based on its own theoretical principles and consists primarily of the following aspects:

Analyzing the concepts and concept structures used in a field or domain of activity

Identifying the terms assigned to the concepts

In the case of bilingual or multilingual terminology, establishing correspondences between terms in the various languages

Compiling the terminology, on paper or in databases

Creating new terms, as required.

In accordance with Kim H. Veltman (Understanding New Media: Augmented Knowledge and Culture. Contributors: Kim H. Veltman – author. Publisher: Press. Place of Publication: , Alta.. Page Number: iii.) “Wuster was an engineer with a strong interest in information science and he developed a theory of terminology on the basis of his terminographic experience. It is fair to say that all Wuster’s life was devoted to terminology.” Whit his work he pursued a number of objectives, intended:

1. To eliminate ambiguity from technical language by means of standardization of terminology in order to make them efficient tools of communication.

2. To convince all users of technical languages of the benefits of standardized terminology.

3. To establish terminology as a discipline for all practical purposes and to give it the status of a science.

In order to achieve these objectives he set himself three major tasks, namely:

1. the development of standardized international principles for the description and recording of terms.

2. the formulation of general principles of terminology (Terminologielehre) which he initially saw as a branch of applied linguistics but later as an autonomous field of study. (It is to be noted that Wuster himself never spoke as a “Theorie”- the German word exists and is widely used- but always of “Lehre” which implies practical guidelines rather than a purely theoretical approach to a subject. ).

3. the creation of an international centre for the collection, dissemination and coordination of information about terminology, which became Infoterm, under the sponsorship of UNESCO.

Wuster developed his conception of terminology firstly on the basis of his experience as an engineer involved in national and international terminology standardization required for the effective introduction of the standardization of physical objects, procedures and measurements in various branches of engineering. He gained additional experience from the compilation of his plurilingual dictionary of standardized technical terms. His theoretical inferences were based on observation of this limited section of technical language- standardized technical terms with consensually agreed equivalents about a previously unified concept. This experience of a limited sector of terminology seems to explain his approach to terminology and the essence of his theoretical position.

III. Types of terminology

There are two types of terminology:

Ad hoc terminology, the terminology which deals with a single term or a limited number of terms. It is prevalent in the translation profession, where a translation for a specific term (or group of terms) is required quickly to solve a particular translation problem.

Systematic terminology, the terminology which deals with all the terms in a specific field or domain of activity.

IV. Technical terminology

Technical terminology represents a specialized vocabulary of a profession or of some other activities to which a group of people dedicate significant parts of their life. Sometimes technical terminology is called jargon or terms of art. Precise technical terms and their definition are formally recognized, documented, and taught by specialists in the field. Other terms are more colloquial, coined and used by practitioners in the field, and are similar to slang.

V. The term

According to “Terminology work. Principles and Methods”, the term represents a “designation that consists in one or more words representing a general concept belonging to a specific language. A term must be accepted and used by specialists of the certain domain of activity.”

The need for unambiguous communication in theoretical and applied field of human activity is constantly increasing. A terminology aims to provide unambiguous terms and in order to achieve the aim it is necessary to determine the precise meanings of terms so that the users to understand and use these terms in a universally accepted manner.

Terms can only be used as such if the user already possesses the configuration of knowledge which determines the role of the term in a structure system. A term can be learned contemporaneously with new knowledge.

Terms are the linguistic representation of concepts. Most of the new terms are formed as and when new concepts are created in such instances as new discoveries, incidental developments or new industrial developments.

One of the major tasks of a terminology is to establish the terms belonging to a given subject, field or domain. The terminology excerpts the terms from documentation pertaining to a specific subject field and related domains and document the according to basic terminographical principles.

Secondary term formation occurs when a new term is created from a known concept. It may happen as a result of a revision of terminology or as a result of the transfer of knowledge to another linguistic mechanism such as word-formation processes that are available in order to expand the terminology.

CONCLUSIONS

In analysing the glossary of terms in Yellow Fidic it was interesting to realize that most of them are used in the technical field only, and another important observation is that the majority of them are terms that have their origin in Greek and Latin.

Even if they all have a Greek route, the technical terms appeared in our language through the word building process of borrowing from French, fact realized by using the terminations ‘e’, ‘tion’, suffixes specific to French.

The most used element in building this words is the derivation with suffixes and prefixes most of them characteristic of nouns or verbs, coinage of noun phrases, phraseologic entities formed with a ‘noun + adjective’, ‘noun + noun , that come from another language in our common language and that we find introduced even in our Romanian dictionaries.

All the terms have their own way of building which can be discussed, especially by taking into consideration their source.

The word ‘contract’ and especially the process of contracting is very important in the analysis of Yellow Fidic. The term, like many other terms that have the same forming structure, comes from a route that is most of the time, in this case all the time, a noun or a verb derived from ‘contractus’ a French rout used now in our language with the neutral form of Romanian word ‘contract’, with the derived term ‘contractare = forma de achizitionare bazata pe contracte.

‘Schedule’, from the Latin ‘schedula’ meaning ‘a leaf of paper’, is the technical a written or printed statement of details, often in classified or tabular form, especially one forming an appendix or explanatory addition to another document, this is the English definition for this word what we will find only the technical area.

The noun borrowed into Romanian is called ‘Lista’ coming from the French ‘lister’.

Its plural form adds the feminine termination ‘-e’ , ‘liste’ and it is used in many various forms that we can find in the DEX ‘98’, Romanian dictionary as following:

Foaie, document, act (scris de mână sau tipărit) care conține o enumerare de persoane, ființe, obiecte, date etc.; înșirare, într-o anumită ordine, a unor nume de persoane sau de obiecte, a unor date etc.

Foaie pe care sunt înscrise mâncărurile și băuturile care se servesc într-un local de consum..

Sumă pe care o poate cheltui anual din fondurile statului o familie monarhică sau șeful statului pentru nevoile personale

efectuare a unei tranzactii financiare sau comerciale; inscriere intr-un registru a unei tranzactii effectuate.

The first conclusion is that the completion of this work proved more difficult than expected, because of the fact that gathering the information about this complex contract was not an easy task. The research and all the discoveries made are some sources of information that still need to be worked on, taking into consideration that there are more colours of this contract to be formed.

The main method of making this glossary was to find a Yellow Fidic Glossary, to select the wanted terms and to try to find their Romanian correspondent. Many of the English terms had a Romanian correspondent which can be found in a bilingual dictionary, but some of them could not be found. I also needed the help of a specialist in the domain. He gave me some technical books in which some of the unknown terms were explained and for the terms which I did not know how to translate, I used another method: I took the English definition of the certain terms and translated them into Romanian for the specialist in order to understand the terms. Then he gave me the correspondents of the terms.

Most of the terms from this glossary are used only in the technical terminology. All the terms have their own way of building fact that I have discussed at the beginning of this chapter, especially by taking into consideration their source.

During the gathering of the information that I needed for the glossary, I had to watch a lot of construction TV shows and especially pay attention to the presenter language in order to understand the specific terminology.

ABSTRACT

Aceasta lucrare este structurata in patru capitole ce cuprind toate informatiile necesare pentru o mai buna intelegere a acestui tip de contract, numit Fidic Galben, de ce este atat de important pentru realizarea unui proiect ce respecta regulile Uniunii Europene si nu in ultimul rand, care este scopul acestui contract.

Prima parte contine scopul lucrarii, cateva cuvinte despre contractul Fidic Galben, cum am luat decizia de a scrie despre acest subiect si de ce sunt toate aceste informatii atat de importante in intelegerea acestui tip de contract. Tot aici este prezentata o scurta istorie a contractului Fidic Galben.

In primul capitol este prezentat un extras din contract

Cel de-al doilea capitol prezinta terminologia, problemele in gasirea unui echivalent intr-o limba straina dar si ruta pe care a urmat-o in timp terminologia.

Capitolele trei si patru prezinta termenii, mapa conceptuala dar si toate detaliile necesare pentru fiecare termen (definitie, sursa si context)

Ultima parte cuprinde concluziile lucrarii, ruta urmata de termeni si dificultatea gasirii tuturor informatiilor.

La final este redactata bibliografia lucrarii.

Prezenta lucrare include toate detaliile necesare pentru ca cititorul sa se familiarizeze cu acest contract numit Fidic Galben.
